Terms of Service & Conditions

Willoe Terms of Service

Last updated: October 9, 2026

1. Who we are, and who this agreement is with

Willoe ("Willoe", "we", "us", "our") provides managed customer-follow-up email services to businesses in the United States. These Terms of Service ("Terms") form the agreement between Willoe and you, the account holder ("you", "your", "Client").

By creating an account, paying an invoice, or using any part of the service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind that company.

You can reach us at any time at [email protected].

Willoe is offered to businesses in the United States only. The service is not offered to consumers, and is not intended for anyone under 18.

2. What the service is

Our core product is Email Butler. It works like this:

You give us your customer records — typically a name, an email address, and what that person bought and when.

We build and operate email sequences on your behalf, using AI to draft a message written for each individual customer rather than one message sent to everyone.

Those emails are sent in your business's name, from your business, to your own customers.

We handle the setup and the ongoing operation. You get a summary each month.

Willoe is a managed service operated on the GoHighLevel platform. We are a software operator and a service provider.

We are not a marketing agency of record. We do not provide legal, tax, accounting, medical or financial advice. We do not manage, hold, invest or transfer money, securities or assets of any kind, and nothing in this agreement should be read as offering any such service.

We do not guarantee any particular result — no specific revenue, open rate, reply rate, conversion rate or return. Email performance depends on your list, your offer, your industry and factors outside anyone's control.

3. Your account

You are responsible for everything that happens under your account, including anything done by people you give access to.

Keep your login credentials secure and tell us promptly if you think they have been compromised.

The information you give us — business name, contact details, billing details — must be accurate and kept current.

One account covers one business. If you operate several businesses that need separate sending, each needs its own account.

4. Price and billing

You pay the price shown on the checkout page when you sign up. It is billed in advance and renews automatically each billing period until you cancel.

No contract and no minimum term. Cancelling stops your plan at the end of the period you have already paid for.

No contact limit. Your price does not change with the size of your list.

Any free trial or discount is shown on the checkout page and is not applied retroactively.

Payments are processed by Stripe. By starting a subscription you authorise us, through Stripe, to charge your payment method each billing period until you cancel. We do not see or store your full card details.

If a payment fails we will retry it and email you. If it is still unpaid after seven days, sending may be paused until the balance is cleared. We will not delete your data during a payment pause.

Prices are exclusive of any taxes that apply to you; you are responsible for those.

5. Sending credit and usage charges

Some parts of the service are billed by usage on top of your plan price — principally email sending, and any add-on services you switch on.

Usage is drawn from your credit balance. You can top up manually or set auto top-up in your billing settings.

Current usage rates are published on our FAQ page and form part of these Terms.

Usage rates can change. We update the published rates when they do.

Credit you have not spent is refundable on request. Credit already spent on messages that have been sent is not.

We will give you at least 30 days' notice by email before increasing your subscription price. If you do not want to continue at the new price, cancel before it takes effect.

6. Cancelling, and refunds

You can cancel at any time. Email [email protected] and say you want to cancel, or cancel from your account settings.

Cancellation takes effect at the end of the billing period you have already paid for. There is no partial-period refund, and we do not charge a cancellation fee.

We will not require you to complete a form, give a reason, or sit through a retention call.

Any sending credit you have not spent is returned to you on request.

If we do not send anything for you in your first month, tell us and we will refund that month in full.

If you believe you have been charged in error, contact us before raising a dispute with your bank — we can almost always resolve it faster ourselves. We may suspend an account with an open chargeback until it is resolved.

On cancellation you may ask us to export your data. See section 7.

7. Your customers' data

The customer records you give us stay yours. You decide what we do with them; we process them only to run the service for you, on your instructions.

What we handle. Typically a name, an email address, purchase history, and any notes or fields you choose to include.

What we do with it. Load it into your account, build sequences, draft and send messages to those customers on your behalf, and report back on what happened. We do not sell it, rent it, or use it to market to your customers on our own behalf or anyone else's.

Who else touches it. To run the service, your data passes through:

HighLevel / LeadConnector — the platform Willoe runs on, where your account and contacts live.

Email sending infrastructure — to actually deliver the messages.

AI language model providers — to draft the wording of each message.

Stripe — to take your payment. Stripe never receives your customer list.

What you are promising us. That you collected these records lawfully, that you have the right to email these people, and that you are not giving us a list you bought, rented, scraped or otherwise did not build yourself.

Getting it back, or getting it deleted. Ask and we will export your data to you. Ask us to delete it and we will, within 30 days of your request or of your account closing, except where we are required to keep records for tax or legal reasons.

How we handle your own personal information — as opposed to your customers' — is described in our Privacy Policy, which forms part of these Terms.

8. Email law — you are the sender

Every message we send goes out in your name, to your customers. Under the CAN-SPAM Act you are the sender and the advertiser; we act on your behalf.

Every message we send carries a working unsubscribe link and your business's physical postal address. These are not optional and cannot be removed.

Unsubscribes are honoured automatically and immediately across your account.

You confirm that every contact you give us was obtained lawfully and that you have a genuine business relationship with them or their permission to email them.

You are responsible for the truthfulness of your offers, claims, prices and guarantees.

You are responsible for understanding the rules that apply where you and your customers are — federal, state, and industry-specific.

Mailbox providers hold senders to complaint-rate thresholds. If your account's spam-complaint rate climbs to a level that puts delivery at risk — for you or for anyone else on the same infrastructure — we may pause sending and work with you to fix it. If it cannot be fixed, we may end the account under section 17.

9. AI-written content

The messages we send are drafted by AI language models working from the customer information you provide and the direction you give us.

The words go out in your name, so they are your responsibility. You can review and approve messages before they send, and we will set that up for you on request.

AI drafts can contain mistakes. We do not warrant that generated text is accurate, complete or suitable for a particular purpose.

If your business makes claims that are regulated — health, medical, financial, legal, or anything requiring a licence or disclaimer — you must review the wording yourself before it sends. Do not rely on us to catch it.

You keep ownership of the content sent from your account. We may use aggregated, de-identified performance data to improve the service; we do not use your customer records to train models for anyone else.

10. Add-on services: texting and calls

Your account can also do more than email. None of it is included in your plan. We switch these on only when you ask, and they are billed at the rates published on our FAQ page.

SMS and MMS messaging

Voice calling and voicemail drops

10.1 Telephony is provided by third parties

Willoe operates as a white-label agency on the GoHighLevel platform. All phone numbers and telephony services, including SMS and calling, are provided and managed through GoHighLevel and its telephony provider, Twilio. We do not own, operate or control that infrastructure, and we are not responsible for service outages, delivery delays or undelivered messages arising from it.

10.2 If you use texting

Text messaging carries obligations that email does not, and they are stricter.

You need prior express written consent from each recipient before sending marketing texts. A customer giving you their phone number for a purchase is not consent to market to them by text.

Your business must complete A2P 10DLC brand and campaign registration before any texting begins. We will help you through it; we cannot do it in your place.

Every marketing text must identify your business and tell the recipient how to stop.

STOP and HELP: recipients can text STOP to any of your numbers to opt out. They receive one confirmation and then nothing further. Texting HELP returns your support contact. These keywords are handled automatically and cannot be disabled.

Message and data rates may apply to recipients. Carriers are not liable for delayed or undelivered messages.

Recipients with questions about their text or data plan should contact their wireless provider. Questions about your messaging program go to [email protected].

The consequences of getting text consent wrong fall on you. The TCPA carries statutory damages per message, and we cannot indemnify you against them.

10.3 Appointment reminders

Where you use the booking calendar, your customers may receive appointment reminder and confirmation texts. Those recipients can stop them at any time by replying STOP, and can resume by booking again.

11. What you may not use Willoe for

You may not use the service to send, promote or facilitate:

Messages to people who did not lawfully opt in, or to lists you purchased, rented, scraped or harvested.

Deceptive subject lines, forged headers, or false sender information.

Anything unlawful, fraudulent, defamatory, harassing, or infringing someone else's rights.

Adult content, illegal substances, illegal firearms, gambling where it is not permitted, or any category your payment processor or mailbox providers prohibit.

Deceptive financial offers, get-rich-quick schemes, unlicensed medical or health claims, or credit repair offers.

Malware, phishing, or attempts to gain unauthorised access to any system.

You also may not resell, sublicense or white-label the service to third parties without our written agreement, or attempt to reverse-engineer it.

12. Third-party services you connect

You can connect Willoe to other services — Shopify, Meta, Google, Zapier, your website platform and others. When you do, you are using those services under their own terms, which you are responsible for reading and following. We are not liable for their availability, their pricing, their handling of your data, or damage arising from their use. If a third party changes or withdraws its integration, we will tell you, but we cannot guarantee continuity.

13. Intellectual property

Ours. The Willoe name, logo, website, templates, sequences, prompts and methods remain ours. Your subscription grants you a limited, non-exclusive, non-transferable right to use the service for your own business for as long as your account is active. It does not transfer ownership of anything.

Yours. Your business name, logo, brand, customer list, product information and the content sent from your account remain yours. You grant us only the permission needed to operate the service for you.

You may not copy, republish or resell our templates, sequences or materials outside your own account.

14. Availability and warranties

We work to keep the service running and to send what we say we will send. But the service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will be uninterrupted or error-free, that every message will reach an inbox, or that the platforms and providers we depend on will perform without fault. Email deliverability is affected by mailbox providers, recipient behaviour and list quality, and is not something any provider can guarantee.

15. Limitation of liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data or business interruption, even if advised that such damages were possible.

Our total liability to you for any and all claims arising out of or relating to these Terms or the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or wilful misconduct.

16. Indemnity

You agree to defend, indemnify and hold harmless Willoe and its owners, officers, employees and contractors from any claim, demand, penalty, loss or expense, including reasonable legal fees, arising from:

the content of messages sent from your account;

the contacts you uploaded and how you obtained them;

your use of texting, calling or any other add-on service;

your breach of these Terms or of any law that applies to you;

any claim that your content or your brand infringes someone else's rights.

17. Suspension and termination

By you. At any time, under section 6.

By us, immediately, where an account is used in breach of section 11, where sending puts other accounts or shared infrastructure at risk, or where we are required to act by law or by one of our providers. Where we can, we will warn you first and give you a chance to fix it.

By us, for any other reason: 30 days' written notice, so that you have time to export your data and move. We will refund any unused portion of the billing period you have paid for in that situation.

On termination, your right to use the service ends. Sections 7, 13, 15, 16 and 19 survive.

18. Changes to these Terms

We may update these Terms. If a change materially affects your rights or obligations, we will email you at least 30 days before it takes effect. Continuing to use the service after that date means you accept the updated Terms; if you do not, cancel before they take effect. Minor corrections take effect when posted, and the "last updated" date at the top always reflects the current version.

19. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to the jurisdiction of those courts.

Before filing anything, both parties agree to raise the issue in writing and to spend 30 days trying to resolve it directly. Most things can be sorted out with an email to [email protected].

20. Cookies

Our website uses cookies — small files stored by your browser — to keep you signed in, remember your preferences, measure how the site is used, and support advertising and remarketing. Session cookies expire when you close your browser; persistent cookies remain until they expire or you delete them. Some are set by us and some by third parties such as analytics and social platforms.

You can delete existing cookies and refuse new ones in your browser settings. Parts of the site, including signing in, may not work properly if you do. Our Privacy Policy covers what we collect and how we use it.

21. General

Entire agreement. These Terms, together with the Privacy Policy and the rates published on the FAQ page, are the whole agreement between us on this subject and replace anything said or written before.

Severability. If any part is found unenforceable, it is removed and the rest stands.

No waiver. If we do not enforce something straight away, we have not given up the right to enforce it later.

Assignment. You may not transfer this agreement without our written consent. We may transfer it as part of a sale or reorganisation of the business, on notice to you.

Independent contractors. Nothing here creates a partnership, joint venture, employment or agency relationship between us.

Force majeure. Neither party is liable for failure to perform caused by events outside its reasonable control.
